End User License Agreement (EULA)

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User", "you", or "your") and FounderHub.ai ("FounderHub", "Licensor", "we", "us", or "our") governing your use of the FounderHub platform, software, AI agents, and related services (collectively, the "Software").

BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

1. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, FounderHub grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Software through the web-based platform
• Interact with AI agents for legitimate business purposes
• Connect authorized third-party integrations to the platform
• Store and retrieve data within the platform's memory and storage systems

2. License Restrictions

You may NOT:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Rent, lease, lend, sell, sublicense, or transfer the Software to any third party
• Remove, alter, or obscure any proprietary notices on the Software
• Use the Software to build a competing product or service
• Use the Software to train other AI models or machine learning systems
• Exceed the usage limits associated with your subscription tier
• Share account credentials with unauthorized individuals
• Use the Software in any manner that could damage, disable, or impair the platform

3. AI Agent Software

The Software includes AI agents powered by machine learning models. You acknowledge that:

• AI agents generate outputs based on patterns in data and may produce inaccurate or incomplete results
• AI agent outputs do not constitute professional, legal, financial, medical, or tax advice
• You are solely responsible for reviewing, verifying, and acting upon AI agent outputs
• AI agents may store information from your conversations in persistent memory to improve service quality
• AI agents may collaborate with other agents on the platform, sharing relevant context to fulfill your requests

4. Your Data

4.1 Ownership

You retain all ownership rights to data you input into the Software ("Your Data"). Content generated by AI agents using Your Data is considered your content.

4.2 License to FounderHub

You grant FounderHub a limited, non-exclusive license to process, store, and transmit Your Data solely to provide and improve the Service. We will not use Your Data to train AI models for other customers or sell Your Data to third parties.

4.3 Third-Party Data

Data accessed through third-party integrations (QuickBooks, LinkedIn, etc.) is subject to those platforms' terms of service. You are responsible for ensuring you have the right to connect these services and share data with FounderHub.

5. Subscription Tiers

The Software is available under different subscription tiers, each with specific limitations on:

• Number of AI agents available
• Number of team members
• API call limits
• Storage capacity
• Available integrations

Details of each tier are provided on our pricing page and at the time of purchase.

6. Updates and Modifications

FounderHub may update, modify, or enhance the Software at any time. Updates may include new features, bug fixes, security patches, or changes to AI agent capabilities. We will endeavor to notify you of material changes. Continued use after updates constitutes acceptance.

7. Support

FounderHub provides support through:

• In-platform AI-assisted support (Stella agent)
• Email support at [email protected]
• Documentation and knowledge base

Support availability and response times may vary by subscription tier.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. FOUNDERHUB EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT AI AGENT OUTPUTS WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

IN NO EVENT SHALL FOUNDERHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE. FOUNDERHUB'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless FounderHub and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Software; (b) your violation of this Agreement; (c) your violation of any third-party rights; or (d) your actions taken based on AI agent outputs.

11. Term and Termination

This Agreement is effective until terminated. Either party may terminate by providing written notice. FounderHub may terminate immediately if you breach any term of this Agreement. Upon termination:

• Your license to use the Software is immediately revoked
• You must cease all use of the Software
• Your data will be retained for 30 days, after which it will be deleted unless required by law
• Sections relating to intellectual property, disclaimers, limitations of liability, and indemnification survive termination

12. Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You may not use or export the Software in violation of Canadian export laws or any other applicable jurisdiction's laws.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under this Agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

14. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and FounderHub regarding the Software and supersedes all prior agreements and understandings.
